Welcome to Kelley HVAC Pro. By downloading, installing, or using our mobile application ("App"), you agree to be bound by these Terms and Conditions ("Terms"). Please read them carefully before using the App.

1. Acceptance of Terms

By accessing or using Kelley HVAC Pro, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, do not use the App.

2. Description of Service

Kelley HVAC Pro is an AI-powered estimating and business management application designed for HVAC contractors. The App provides tools for generating estimates, managing customers, processing payments, and other business functions.

3. Eligibility

You must be at least 18 years old and legally able to enter into a binding contract to use this App. By using the App, you represent and warrant that you meet these requirements.

4. Account Registration

To use certain features, you must create an account. You agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Maintain the security of your password and account
• Accept responsibility for all activities that occur under your account
• Notify us immediately of any unauthorized use of your account

5. Subscription and Payment

Kelley HVAC Pro operates on a subscription model:

• Free Trial: New users receive a 30-day free trial with full access to all features
• Subscription Fee: After the trial period, a monthly subscription fee of $29.99/month is required to continue using the App
• Billing: Subscription automatically renews unless auto-renew is turned off at least 24 hours before the end of the current period. Your Apple ID account will be charged for renewal within 24 hours prior to the end of the current period. Payment will be charged to your Apple ID account at the confirmation of purchase
• Cancellation: You can manage and cancel your subscriptions by going to your App Store account settings after purchase. Cancellation takes effect at the end of the current billing period
• Price Changes: We reserve the right to modify subscription pricing with advance notice as required by applicable law

6. Acceptable Use

You agree not to:

• Use the App for any unlawful purpose or in violation of any applicable laws
• Attempt to gain unauthorized access to the App, other accounts, or related systems
• Reverse engineer, decompile, or disassemble any part of the App
• Use the App to transmit harmful, threatening, or offensive content
• Interfere with or disrupt the operation of the App
• Share your account credentials with unauthorized users
• Use automated tools to access the App without our permission

7. AI-Generated Content

The App uses artificial intelligence to assist in generating estimates and recommendations. You acknowledge that:

• AI-generated estimates are suggestions and should be reviewed by a qualified professional before use
• You are solely responsible for the accuracy and appropriateness of any estimates provided to your customers
• AI recommendations are based on the information you provide and may not account for all job-specific factors
• We do not guarantee the accuracy of AI-generated content

8. Customer Data

You are responsible for obtaining any necessary consent from your customers before entering their personal information into the App. You agree to comply with all applicable data protection laws regarding customer information you process through the App.

9. Payment Processing

The App integrates with Stripe for payment processing. When you collect payments from your customers through the App:

• You agree to Stripe's terms of service and applicable merchant agreements
• Processing fees may apply as outlined by Stripe
• We are not responsible for payment disputes between you and your customers
• You are responsible for all tax obligations related to payments received

10. Intellectual Property

The App, including its design, features, code, and content, is owned by Kelley HVAC Pro and protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the App for its intended purpose.

11. Disclaimer of Warranties

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE APP WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. WE DISCLAIM ALL WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, KELLEY HVAC PRO AND ITS OWNER SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE APP. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE APP IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

13. Indemnification

You agree to indemnify, defend, and hold harmless Kelley HVAC Pro, its owner, and affiliates from any claims, damages, losses, or expenses arising from your use of the App, violation of these Terms, or infringement of any third-party rights.

14. Termination

We reserve the right to suspend or terminate your account at any time for violation of these Terms or for any other reason at our discretion. Upon termination, your right to use the App ceases immediately.

15. Modifications to Terms

We may update these Terms from time to time. We will notify users of material changes through the App or via email. Continued use of the App after changes constitutes acceptance of the updated Terms.

16. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of New Jersey, without regard to its conflict of law provisions. Any disputes shall be resolved in the courts of New Jersey.

17. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.

18. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Kelley HVAC Pro regarding the use of the App.
